1. ACCEPTANCE OF TERMS

These Terms of Use ("Terms") are a legally binding agreement between you and WizAgents.AI ("WizAgents," "we," "us," or "our"). By accessing or using our website, marketplace, or professional services (collectively the "Services") you confirm you are at least 18 years of age and agree to these Terms.

2. DESCRIPTION OF SERVICES

A. AI Agent Marketplace

Our marketplace features curated AI tools and agents from third-party vendors. WizAgents does not develop or own these products. We provide a discovery platform where users can browse and access AI tools. Some listings are affiliate links and WizAgents may earn a commission when you purchase a product at no additional cost to you.

B. Professional Services

WizAgents offers AI consulting, strategy, custom agent development, workflow automation, GEO, AI workforce augmentation, and AI staffing services. These are governed by separate engagement agreements.

3. USER ACCOUNTS

You agree to provide accurate information, maintain account security, notify us immediately of any unauthorized access at hello@wizagents.ai, and accept responsibility for all activity under your account. We may suspend or terminate accounts that violate these Terms.

4. ACCEPTABLE USE

You agree NOT to violate any applicable law, use the Services fraudulently or harmfully, scrape or extract data without written permission, attempt unauthorized access to our systems, introduce malware or harmful code, impersonate any person or entity, post unlawful or abusive content, or resell the Services without our written consent.

5. MARKETPLACE TERMS

A. Third-Party Products

Products listed on our marketplace are developed by independent third-party vendors, not WizAgents. We do not endorse or guarantee any third-party product. Your use of third-party products is subject to that vendor's own terms and policies.

B. Affiliate Commissions

Some listings are affiliate links. WizAgents may earn a commission on purchases made through these links at no additional cost to you. Affiliate relationships do not influence our product rankings.

C. No Guarantee of Availability

We make no guarantee that any specific product will remain available. Vendors may change pricing, features, or availability at any time.

D. Vendor Disputes

Disputes regarding third-party products must be resolved directly with the applicable vendor. WizAgents is not a party to transactions between you and third-party vendors.

6. PROFESSIONAL SERVICES

Professional services engagements are governed by a separate written Engagement Agreement. In the event of a conflict between these Terms and an Engagement Agreement, the Engagement Agreement controls. Contact hello@wizagents.ai to discuss a professional services engagement.

7. INTELLECTUAL PROPERTY

A. WizAgents Content

All WizAgents-created content — including our logo, website design, written content, and marketplace listings — is our intellectual property protected by US and international law. You may not copy, reproduce, or distribute our content without prior written consent.

B. Third-Party Content

Product names, logos, and descriptions belonging to third-party vendors are their respective intellectual property. WizAgents uses them for informational listing purposes only.

8. PRIVACY

Your use of the Services is governed by our Privacy Policy at wizagents.ai/privacy, incorporated into these Terms by reference.

9. DISCLAIMERS AND LIMITATION OF LIABILITY

A. Services Provided As Is

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND. WIZAGENTS DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.

B. No Warranty on Third-Party Products

WIZAGENTS MAKES NO WARRANTIES REGARDING THIRD-PARTY PRODUCTS LISTED ON OUR MARKETPLACE. ALL SUCH PRODUCTS ARE PROVIDED BY THEIR VENDORS.

C. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, WIZAGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US IN THE PRIOR 12 MONTHS OR $100 USD.

10. INDEMNIFICATION

You agree to indemnify and hold harmless WizAgents and its officers, directors, employees, and affiliates from any claims, liabilities, damages, and expenses arising from your use of the Services, violation of these Terms, or infringement of any third-party rights.

11. GOVERNING LAW AND DISPUTES

A. Governing Law

These Terms are governed by the laws of the State of Wyoming, United States.

B. Informal Resolution

Before initiating legal proceedings, contact us at hello@wizagents.ai to resolve the dispute informally within 30 days.

C. Arbitration

Unresolved disputes will be settled through binding individual arbitration administered by the American Arbitration Association in Wyoming. The arbitrator's decision is final and binding.

D. Class Action Waiver

YOU AND WIZAGENTS AGREE THAT CLAIMS MAY ONLY BE BROUGHT INDIVIDUALLY AND NOT AS PART OF ANY CLASS OR REPRESENTATIVE ACTION.

12. CHANGES TO THESE TERMS

We may modify these Terms at any time. Material changes will be communicated via email or website notice. Continued use after the effective date constitutes acceptance.

13. TERMINATION

We may suspend or terminate your access at any time at our sole discretion. Sections relating to intellectual property, disclaimers, liability, indemnification, and governing law survive termination.
